Mediateers LLC Terms of Use

Mediateers LLC Terms of Use

Effective Date: October 31, 2026
Last Updated: October 31, 2026

These Terms and Conditions (the “Terms”) describe the conditions for using mediateers.com and the pages, forms, booking features, demonstrations, and other online features operated by Mediateers LLC that link to these Terms (the “Site”). Mediateers LLC is a Florida limited liability company. “Mediateers,” “we,” “us,” and “our” mean that company.

Important: Sections 26–28 address warranties, limitations of liability, and indemnification. Section 31 addresses disputes in court. These Terms do not impose mandatory arbitration, a class-action waiver, or a contractual jury-trial waiver. A separately accepted client agreement controls the services covered by that agreement.

1. Acceptance and capacity

We make these Terms available so you can review them before deciding whether to use the Site or enter into a transaction. When we present a conspicuous notice linking to these Terms and clearly stating that a checkbox, signature, or other action signifies agreement, taking that action constitutes your acceptance to the extent permitted by law. We may retain a record of the version presented and your acceptance.

A footer link, receiving an email, submitting an ordinary inquiry, or merely viewing the Site does not, by itself, establish that you affirmatively accepted payment obligations, indemnification, or limitations on legal remedies. Our intellectual-property rights and applicable law remain enforceable independently of contract acceptance. If you do not agree to a proposed transaction's terms, do not accept that transaction.

You must be at least 18 and legally able to contract to purchase from us or accept an agreement. If you act for an organization, you represent that you have authority to bind it. In that case, “you” and “Client” mean the organization for the engagement. Acting as its authorized representative does not, by itself, create a personal payment guarantee. You remain responsible for your own unlawful acts as provided by law.

2. Scope and separate client agreements

These Terms address Site use and transactions that expressly incorporate them. Paid projects normally require an accepted proposal or statement of work, our client service agreement, and any applicable product, messaging, or data-processing schedules (collectively, a “Client Agreement”).

For covered services, the Client Agreement controls over these Terms and follows its own order of precedence. In particular, these Terms do not replace a signed agreement's pricing, cancellation rights, ownership provisions, liability allocation, or dispute procedure. Third-party terms govern the applicable third-party service, subject to mandatory law.

Submitting a form, booking a consultation, receiving an estimate, or discussing a project does not obligate either party to buy or perform services. An engagement begins when we accept it in writing and the required signatures and initial payment are received. Scheduling also depends on receiving required materials and access. We may decline prospective work for lawful reasons.

The Site and standard services are directed primarily to businesses in the United States. Work for other jurisdictions requires an expressly agreed scope and any necessary additional terms. This does not exclude laws that apply regardless of the parties' stated geographic focus.

3. Services and written scope

Our services may include website design, website care, lead follow-up workflows, reputation systems, local marketing, specifically approved AI-assisted features, consulting, and NFC or QR products. A service is included only when identified in the accepted scope.

Site descriptions summarize available services. The accepted order identifies purchased deliverables, quantities, revision allowances, responsibilities, timing, fees, outside subscriptions, and exclusions. A demonstration does not promise every demonstrated feature in every package. “Automation” does not necessarily mean an AI agent. Our standard lead follow-up and reputation workflows are email-only unless a separate written scope adds another channel.

New features, additional pages, new design directions after approval, custom integrations, migrations, translations, paid advertising, extra training, and work beyond included allowances require an approved change. We will obtain written agreement on added scope, price or rate, and any material schedule change before performing chargeable extra work.

Unless an accepted order states another rate, approved extra work is $75 per hour. Stating that rate does not authorize work or an unlimited bill. For orders under these Terms, hourly extra work is billed in 15-minute increments within an agreed estimate or spending cap. We will request approval before exceeding that cap.

4. Information and professional advice

Site content and general consultations provide business and technical information. Mediateers is not your attorney, accountant, tax adviser, investment adviser, healthcare provider, or regulated compliance adviser. Templates, examples, technical implementations, and operational suggestions are not professional legal or regulatory opinions.

You are responsible for obtaining appropriate advice about your business's licensing, disclosures, industry restrictions, accessibility obligations, claims, customer relationships, and permitted use of technology. We remain responsible for duties imposed directly on us; this provision does not transfer our own legal obligations to you.

5. Outcomes, examples, and estimates

We do not guarantee search rankings, review counts, ratings, lead volume, sales, revenue, profit, advertising performance, platform approval, or a particular return on investment. Results depend on factors including your offer, market, competition, budget, responsiveness, customer experience, third-party platforms, and the quality of supplied information.

Forecasts and time estimates are estimates unless an accepted written agreement expressly makes a specific commitment. Actual case studies and testimonials must accurately describe the experiences represented; calling results variable does not excuse misleading statements. Hypothetical examples, mockups, and simulated demonstrations should be identified as such. Another client's experience does not promise the same result for you.

6. Client information, cooperation, and approvals

You are responsible for providing accurate business details, approved claims, lawful materials, necessary permissions, and timely access. You must designate a person authorized to give project instructions and approve work. We may reasonably rely on that person's written instructions unless we have reason to question their authority or legality.

You must review designs, copy, offers, prices, links, recipients, message timing, destinations, and other client-specific details before approving them. Tell us promptly about errors, changed instructions, unauthorized access, or legal concerns. Approval does not excuse our failure to implement the approved scope correctly or defects that reasonable review would not reveal.

Maintain appropriate access controls and backups for systems you control. We are responsible for the agreed safeguards and work within our control. A client instruction cannot authorize illegal conduct, deceptive marketing, or violation of another person's rights.

7. Schedule, review, and launch

Unless expressly guaranteed in writing, schedules are good-faith estimates starting after required payment, information, materials, and access are available. Material client delays or approved changes can move delivery dates. We will communicate material schedule changes reasonably promptly.

Unless your Client Agreement states otherwise, failure to provide requested materials or feedback for 10 business days may move the project out of its current production slot; after 30 calendar days we may pause it; after 60 calendar days we may need to revalidate scope and availability. Revised fees require agreement before additional chargeable work. Delay alone does not automatically forfeit every prepaid amount.

Unless another review period is agreed, identify material departures from the agreed scope within five business days after a milestone is delivered for review. Where an accepted Client Agreement provides for milestone acceptance after that period, it governs that acceptance. Silence is not permission to launch a website, publish a content batch, activate a material outbound automation, or start paid advertising. Written approval is required, except for routine actions expressly authorized in the scope. Review periods do not eliminate rights concerning latent defects or rights that law does not allow us to limit.

8. Support, corrections, and maintenance

Unless another arrangement is agreed, support is by email at hello@mediateers.com, Monday through Friday, 9 a.m. to 5 p.m. Eastern time, excluding U.S. federal holidays. Our initial response target is two business days; it is not a guaranteed resolution time or service-level agreement. There is no included 24-hour monitoring, emergency on-call service, or unlimited revision entitlement.

For a newly launched website or automation purchased under these Terms, we provide a 14-calendar-day stabilization period after initial launch to correct reproducible errors attributable to our work that materially depart from the agreed scope. This excludes new features, changed preferences, client edits, inaccurate supplied data, and changes or failures in independent platforms, except to the extent caused by our breach. Corrections we owe are not charged as extra work or deducted from a purchased minor-update allowance. This period supplements, and does not unlawfully shorten, applicable warranty or statutory rights.

Ongoing checks, updates, backups, security operations, repairs, and content changes are included only as stated in the purchased plan. Cancellation of support does not revoke ownership or licenses already earned in fully paid deliverables, although third-party hosting and subscriptions may still be necessary.

9. Project fees and payment schedule

The accepted order identifies the total price and payment dates. Unless that order states otherwise, one-time website and system-setup projects require 50% before work begins and 50% before final launch, publication, transfer, or handoff. A “one-time” price means a nonrecurring project fee; it does not, by itself, mean the entire fee must be paid in one installment.

Physical product orders are paid in full before production unless otherwise agreed. Recurring services follow Section 10. Prices are in U.S. dollars unless expressly stated otherwise. We do not silently increase an accepted fixed project price because a public price list later changes.

You authorize only the charges described in the accepted order, invoice, or separate payment authorization. Providing a card once does not authorize unrelated purchases, future projects, unlimited usage, or automatic renewal charges. Any automatic payment arrangement requires the appropriate authorization and disclosures.

We may correct an obvious pricing or description error before accepting an order and give you the corrected information to review. If a material error is discovered after acceptance, we will contact you to agree on a lawful resolution rather than automatically charging a higher price. Any cancellation or refund must respect the accepted agreement and mandatory law. We may decline an unaccepted order that reasonably appears fraudulent.

10. Recurring services, renewal, and cancellation

Unless an accepted order expressly states a different term, recurring services continue month to month and are billed monthly in advance. Before enrollment we identify the service, recurring amount, billing frequency, start date or activation condition, and cancellation method.

Lead Follow Up, Reputation, and Growth recurring fees begin on their documented go-live date, with the initial recurring payment due at activation. Website Care begins on the agreed date no earlier than website launch. Local Marketing begins on the agreed service start date. A setup deposit alone does not start recurring billing.

Either party may cancel a month-to-month service with 30 calendar days' written notice. Send cancellation to hello@mediateers.com and identify the business and service. We do not require a special subject line, a phone call, or a sales conversation to process an otherwise clear cancellation. Where applicable law or an offered online enrollment method requires an additional cancellation option, we will provide it; a mandatory shorter cancellation period controls.

Unless a later date is requested and agreed, cancellation takes effect 30 calendar days after valid notice under Section 32. Fees remain due for services through that date. A partial service period is prorated daily using the actual number of calendar days in the relevant billing period. We will refund, or credit if you choose, prepaid service fees for days after the effective termination date within 30 days after termination. Separately approved noncancelable third-party commitments remain subject to the accepted order and law.

Revoking automatic-payment authorization stops future automatic charges as required by law and the processor's rules. It does not, by itself, cancel an underlying service contract or erase amounts properly due. A clear service-cancellation request will be treated as such regardless of its label. We will not treat a cancellation as ineffective merely because a payment method is removed.

Unused monthly allocations caused by client delay do not roll over unless agreed. If we fail to perform included work for reasons attributable to us, we will arrange appropriate makeup work or a proportionate credit or refund. We will not charge twice for the same included component of a bundle.

A prospective recurring price increase requires at least 30 days' written notice before it takes effect under these Terms, plus any further notice or consent required by law or your agreement. You may cancel before the increase takes effect without being charged the increased rate during the cancellation notice period. Changes do not retroactively alter paid periods.

11. Outside costs and taxes

Unless expressly included, domains, hosting, subscriptions, advertising spend, messaging usage, stock assets, delivery, and other outside costs are separate. Required subscriptions and material estimates should be identified before commitment. Client-controlled direct billing is preferred where practical.

An unfilled budget or a general request to “make it work” does not authorize new financial commitments. We will obtain written approval of a new charge or spending limit before incurring it on your behalf. Independent providers may change their direct-billed prices under their own agreements. Applicable transaction taxes we are legally required to collect are shown separately. You are not responsible for taxes on our income.

12. Project cancellation and refund accounting

You may cancel a one-time project by written notice. You remain responsible for the reasonable value of work actually performed and approved noncancelable third-party commitments through cancellation, without duplicate recovery and no more than the accepted total price absent an approved change.

An advance payment is applied toward those earned amounts; it is not automatically forfeited in full because it is called a “deposit.” We use agreed milestone prices where applicable. Otherwise, reasonable completed proportions and documented work support the final accounting. An extra-work rate is not permission to invent hours or charge twice for fixed-price work.

We will provide a reasonable final accounting and refund unused prepaid amounts within 30 days after cancellation. We do not impose an undisclosed cancellation penalty or automatically deduct all processing fees from refunds. Any deduction must be specifically agreed, lawful, and properly attributable to the transaction.

We may end a project for convenience on at least 10 calendar days' notice, provide completed deliverables for which payment is properly due and made, and refund unused prepaid amounts. Either party may terminate for a material breach not cured within 10 calendar days after written notice describing it. Immediate protective action may be appropriate under Section 29.

Custom-product cancellation is further addressed in Section 18. These provisions do not limit remedies for our breach, defective or incorrect products, or nonwaivable legal rights.

13. Invoice disputes, nonpayment, and chargebacks

Tell us promptly if you dispute an invoice in good faith, identifying the charge and reason. Undisputed amounts remain due. If an undisputed payment remains unpaid more than seven calendar days after its due date, we may pause affected work after reasonable written notice and withhold unpaid final delivery where permitted by law and platform rules.

Please make a good-faith effort to contact us about a billing problem before initiating a payment dispute when practical. This is not a waiver of card-network, bank, statutory, or regulatory dispute rights and does not require you to miss a deadline. We may submit accurate contracts, approvals, delivery records, and transaction information to respond to a dispute.

Knowingly false payment claims may constitute a breach or other unlawful conduct. We will not impose a penalty merely for exercising a legitimate dispute right or recover the same charge twice. Documented processor dispute fees are recoverable only where law and an enforceable agreement permit. We do not impose compound late interest under these Terms.

14. Client materials and confidentiality

You retain your rights in materials and data supplied by or for you (“Client Materials”). You grant us a limited, nonexclusive license to use, copy, format, modify, host, and transmit them only as reasonably necessary to evaluate your request, perform and support the accepted work, secure the service, and comply with law. This is not permission to sell your customer list, train a general-purpose AI model on your confidential information, or publish your materials as a case study.

You represent that you have the rights and permissions needed for the materials and instructions you supply. We may decline material that reasonably appears unlawful, misleading, infringing, or outside scope. You must disclose known third-party restrictions before we rely on the material.

For information clearly identified as confidential or reasonably understood to be confidential, each party will use reasonable care, use it only for the business relationship or another permitted purpose, and disclose it only to people who need it and are subject to appropriate duties. Exceptions include information lawfully known without restriction, independently developed, rightfully received from another source, or public without breach. Required legal disclosures may be made, with notice and reasonable limitation where permitted.

Unless a Client Agreement provides otherwise, these confidentiality duties continue for three years after the relationship ends; trade secrets remain protected while legally qualifying, and personal information remains subject to applicable law and privacy obligations. Confidentiality does not restrict protected reports to authorities, legal advice, or honest reviews of a customer's experience.

15. Ownership and handoff

For paid work, the Client Agreement determines deliverable ownership. If an accepted order incorporates these Terms without a separate ownership provision, after full payment for the relevant deliverable we assign the transferable copyright interests we own in the final client-specific website design, commissioned copy, graphics, and approved product artwork created specifically for that order. Drafts, unselected concepts, internal working materials, and tools are excluded unless listed as deliverables.

We retain preexisting and reusable templates, frameworks, methods, prompts, code libraries, workflows, know-how, and components (“Provider Materials”). To the extent Provider Materials are embedded in a fully paid deliverable, you receive a perpetual, worldwide, nonexclusive license to use, reproduce, modify, and permit your service providers to maintain those components as part of that deliverable for your business. This does not authorize extraction and resale of our reusable components as a separate competing product.

Third-party fonts, stock media, software, platforms, and open-source components remain subject to their own licenses. We cannot transfer rights we do not own. AI-assisted output may lack exclusive copyright protection or resemble other output. Any required subscriptions and material license limitations should be identified in the scope or handoff.

Ordinary delivery of the agreed final files, available administrative access, and brief operating instructions is included. New migrations, extensive training, custom exports, or additional formats require an agreed scope. We will not deliberately lock you out of a client-owned account as leverage over a disputed invoice.

16. Website content, brand, and feedback

The Site's original text, designs, graphics, branding, and other protected materials belong to us or our licensors. You may view the Site and keep reasonable copies of proposals or policies for legitimate evaluation, transactions, and records. You may not sell, misleadingly republish, or exploit protected Site material or imply our endorsement without permission. This does not restrict uses allowed by law, including applicable fair-use rights.

Voluntarily submitted product suggestions may be used to improve our services without compensation, provided that use does not disclose your confidential information or personal information contrary to our obligations. This does not transfer ownership of a public review, testimonial, Client Material, or commissioned deliverable.

We will not publicly identify you as a case study, use confidential results, or publish your name, logo, or testimonial for promotion without your written permission or a specific authorization in an accepted agreement.

17. AI and automation

AI functionality is included only when expressly scoped and approved. Our standard email workflows do not include a free-form AI adviser, autonomous sales agent, AI voice caller, or high-impact decision system.

AI can produce inaccurate, incomplete, biased, repetitive, or unexpected content. Business-critical output requires appropriate human review. You are responsible for checking client-specific facts, offers, claims, recipients, and approved business decisions. We remain responsible for implementing agreed controls, testing, and work within our control.

Do not use our standard services to determine eligibility for credit, housing, employment, insurance, healthcare, legal rights, or other high-impact outcomes. Such uses are outside scope unless separately assessed and expressly agreed with all necessary safeguards. The services are not emergency, life-safety, or medical systems.

Do not supply government identifiers, full payment-card details, health records, biometric data, children's information, passwords in ordinary messages, or similarly sensitive data unless the specific need, lawful basis, secure method, and contractual safeguards have been agreed first. Approved access credentials must be shared through the agreed secure method.

We may stop or throttle an automation to address a material security, accuracy, consent, or sending problem. We will communicate the issue as reasonably practical. A provider's own terms may affect availability, data handling, licensing, or output. No provider disclaimer removes our express obligations under the accepted scope.

18. NFC cards, QR codes, stands, and custom products

The accepted order specifies quantities, branding, destination, configuration, proof revisions, delivery method, and price. Standard orders include one design direction and one consolidated proof revision using supplied branding unless another scope is agreed. Written approval of the artwork and destination is required before production.

Products are paid in full before production unless otherwise agreed. Before production, cancellation is accounted for under Section 12. Once approved custom production begins, you remain responsible for conforming items already produced or irrevocably committed, without duplicate charges and not above the accepted order price absent an approved change. Customization does not eliminate remedies for defective or incorrect goods.

We will configure the agreed destination and test included NFC and QR functions before handoff. You should also test the delivered items in their intended location before displaying or distributing them. NFC depends on a compatible device and settings; QR use depends on a functioning camera or scanner. Opening the destination requires a working link and usually internet access. Cases, placement, metal surfaces, devices, and software can affect performance.

Unless the order expressly states otherwise, products are intended for ordinary indoor handling and are not represented as waterproof, weatherproof, tamperproof, or compatible with every phone. Keep printed labels and finishes dry and avoid soaking, heat, abrasion, and harsh cleaners. Use safe placement, obtain permission for placement on others' property, and periodically check for damage, tampering, and a correct destination.

Report a suspected supply defect or material departure from the approved order promptly, with a description and available photographs. We will reasonably investigate and repair or replace an affected item at no additional charge. If repair or replacement cannot reasonably resolve the issue, we will refund the price paid for the affected item. Reasonable necessary return or replacement shipping for a covered defect will not be shifted to you. These remedies are not excluded by a general disclaimer.

This remedy does not cover later damage, misuse, normal wear, changed preferences, errors in client-approved artwork that we reproduced correctly, incompatible devices, or subsequent destination-platform changes, except where law requires otherwise. There is no artificial short reporting deadline that extinguishes nonwaivable rights.

Production and delivery dates are estimates unless expressly guaranteed. Shipping charges and methods must be agreed. We will work with you to resolve non-delivery or transit damage and do not make you waive mandatory delivery rights. A material delay will be communicated, with any cancellation or refund option required by law.

Basic use of a purchased NFC or QR product has no Mediateers monthly access fee unless a separately identified hosted feature is expressly purchased. Automated review requests, later redesigns, new programming, and ongoing monitoring are separate services. A link to a client's or third party's destination still depends on that destination remaining available.

19. Reviews, testimonials, and reputation systems

Review tools must solicit genuine feedback from people with actual experience. Neither party may use our services to create fake reviews, fabricate customer identities or experiences, buy false engagement, or present synthetic testimonials as genuine customer experiences. Editing genuine customer wording must not misrepresent the experience or omit required permission or disclosure.

Our workflows must not condition an incentive on positive sentiment, offer incentives for Google reviews, conceal material reviewer connections, or route only satisfied customers to a public review page while diverting dissatisfied customers. We do not offer guaranteed five-star reviews, guaranteed review counts, negative-review removal, or immunity from platform enforcement.

Requests must be neutral and follow the applicable platform's rules. We may refuse or pause a workflow that appears deceptive or noncompliant. You remain responsible for your customer experiences, supplied customer records, lawful permissions, and truthful business claims. We remain responsible for our own conduct and the controls we agree to implement.

Nothing in these Terms prohibits an honest review of Mediateers, imposes a penalty for an unfavorable opinion, transfers a reviewer's intellectual-property rights, or prevents a lawful complaint to a regulator. Lawful remedies for defamation, threats, privacy violations, or infringement are preserved without treating criticism alone as misconduct.

20. Email, texts, calls, and recipient permissions

Submitting an inquiry authorizes appropriate responses to that inquiry; it is not blanket consent to promotional email, automated marketing texts, or prerecorded or artificial-voice calls. Optional marketing choices must be separate from accepting these Terms or acknowledging the Privacy Policy.

Standard client lead and reputation workflows use email for the client's own inbound inquiries or genuine customers. Automated promotional texts, artificial-voice calling, cold-outreach campaigns, and other regulated channels are excluded unless separately scoped and approved before activation.

Before a relevant workflow goes live, the client must provide the sending identity, recipient source, required permissions, applicable disclosures, approved copy, timing, and stop rules. We will implement and test the agreed controls. Neither party may knowingly use unlawful harvested lists or override a valid suppression to continue marketing. Purchased data is not assumed to establish consent.

Where applicable, messages must include accurate sender information, required business details, and an effective opt-out. Each party must promptly communicate relevant opt-outs received through channels it controls. Required consent records and additional messaging terms must be in place before regulated messaging begins. Contractual allocation does not excuse either party's direct legal duties.

21. Domains, hosting, integrations, and outside platforms

Where practical, client domains and platform accounts should be held in the client's name with suitable administrative access. If we create an account for you, ownership, billing, and handoff must be clear. You remain responsible for renewals and fees assigned to you, and for conduct within accounts you control.

Independent providers control their availability, algorithms, permissions, pricing, interfaces, policies, and enforcement. We cannot guarantee unchanged APIs, account approval, indexing, delivery, rankings, or uninterrupted third-party service. We are not liable for an independent provider's conduct to the extent not caused by our breach or other legally attributable conduct. This does not excuse our agreed configuration, reasonable provider management, or response obligations.

Maintenance, accessibility audits, security monitoring, compliance certifications, backups, and disaster recovery are not included unless expressly listed. We do not warrant universal browser compatibility or legal accessibility compliance through design alone. Agreed accessibility specifications and duties imposed directly by law remain applicable.

22. Privacy, client data, and security

Our Privacy Policy explains how we handle personal information for our own business. A privacy notice is not blanket consent to every processing activity and does not replace required permissions or a data-processing agreement.

When processing personal information solely for a client, we follow the applicable Client Agreement, data-processing schedule, documented lawful instructions, and mandatory law. The client must establish the lawful basis for the information and instructions it provides. We will not sell that client data or use it for our own unrelated marketing or general-purpose AI training.

Both parties must use safeguards appropriate to the information and systems under their control. We will address incidents and provide required notifications in accordance with applicable law and our agreement. A limitation of liability does not eliminate a statutory security or notification duty.

After the relationship ends, data return, deletion, limited record retention, and transition follow the Client Agreement and applicable law. We may retain information genuinely needed for legal, tax, security, dispute, or backup purposes, with appropriate protection and without repurposing it for unrelated use. Client data must not be held hostage to a disputed invoice where law or the agreement requires its return.

23. Prohibited conduct and security reports

You must not use the Site or services to commit fraud, impersonate another person, distribute malware, send unlawful spam, infringe rights, manipulate reviews, harass others, submit unlawful material, or interfere with systems. You must not bypass access controls, use another person's credentials without authority, or perform intrusive testing without authorization.

Do not scrape nonpublic information, harvest personal information unlawfully, or use automated requests that materially disrupt service. These restrictions do not prohibit conduct protected by law, legitimate search indexing consistent with published controls, or authorized research.

Report a suspected vulnerability privately to hello@mediateers.com, with enough information to understand it and without including exposed personal information unnecessarily. Do not exploit the issue or access others' data. A report does not automatically authorize further testing or promise a reward.

24. Links, accounts, and third-party content

Links and embedded services may lead to independent websites, booking tools, payment processors, social platforms, or resources. Inclusion of a link does not itself endorse all third-party content or create a partnership. Third parties apply their own terms and privacy notices.

If a feature requires an account, protect your credentials, provide accurate information, and notify us of suspected compromise. We may require reasonable verification before changing sensitive account access or releasing data. We will not ask you to disclose a payment password or security code in an ordinary contact form.

25. Independent business and subcontractors

Mediateers is an independent contractor. An engagement does not create employment, a partnership, joint venture, fiduciary relationship, or general authority for either party to bind the other. We may use qualified contractors or service providers subject to appropriate confidentiality, access, and data obligations, while remaining responsible for our contractual performance.

The contracting service provider is Mediateers LLC, not its members, managers, or personnel individually. A representative's signature for the company is not a personal guarantee unless that person separately and expressly agrees to one. This does not eliminate individual liability that applicable law independently imposes.

Unless agreed otherwise, the relationship is nonexclusive and we may work with other businesses, including competitors, without using your confidential information for their benefit. You remain responsible for your business's pricing, fulfillment, sales decisions, and customer service.

26. Limited service warranty and disclaimers

We will perform purchased services in a professional and workmanlike manner consistent with the accepted scope. Tell us promptly and specifically about a material failure to meet that commitment and give us a reasonable opportunity to correct or reperform the affected work where practical. If correction cannot reasonably resolve our material failure, the parties will address appropriate remedies under the agreement and applicable law; a correction process does not require indefinite acceptance of nonperformance.

The product remedy in Section 18, express commitments in an accepted order, and nonwaivable legal rights remain effective.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENERAL SITE CONTENT AND FREE DEMONSTRATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT FOR EXPRESS WARRANTIES AND COMMITMENTS IN THESE TERMS OR AN ACCEPTED AGREEMENT, WE DISCLAIM IMPLIED WARRANTIES TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE.

We do not promise uninterrupted operation, perfect accuracy, freedom from every security threat, universal compatibility, or ownership of rights in material supplied by others. A disclaimer does not negate a product's agreed description, a mandatory warranty, an express promise, or liability that cannot lawfully be excluded. Where a written consumer-product warranty or applicable law restricts disclaimer of implied warranties, those restrictions control.

27. Limitations of liability

PLEASE READ THIS SECTION. IT ALLOCATES RISK AND LIMITS CERTAIN RECOVERABLE DAMAGES ONLY TO THE EXTENT PERMITTED BY LAW AND A VALID AGREEMENT.

Subject to the exceptions below and any controlling Client Agreement, neither party is liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, including consequential lost profit, lost revenue, lost opportunity, loss of goodwill, business interruption, or data loss, arising from these Terms, the Site, or a covered order, even if advised of that possibility.

For a paid order governed by these Terms without a separate controlling liability provision, Mediateers' total aggregate liability arising from that order, whether in contract, tort including ordinary negligence, warranty, or another theory, will not exceed the fees actually paid to Mediateers under that order during the six months immediately before the event giving rise to the claim. For a one-time project completed in less than six months, the cap is the total fees actually paid for that project. For a physical-product order, the cap is the amount paid to Mediateers for that order.

For claims concerning only free Site use and no paid order, our aggregate liability under an enforceable acceptance of these Terms is limited to $100. These amounts do not multiply merely because the same event is asserted under multiple legal theories.

These exclusions and caps do not excuse fraud, gross negligence, willful misconduct, or liability that law prohibits limiting. They do not eliminate required refunds, promised repair or replacement remedies, duties to return client property or data, or other nonwaivable remedies. They do not cap amounts you properly owe for purchased work or business-client indemnification under Section 28.

Liability under a separate Client Agreement is governed by that agreement, not silently changed by this page. The agreed fees and scope reflect the risk allocation. If a limitation is prohibited in a particular circumstance, the remaining lawful provisions apply without extinguishing the affected statutory right.

28. Business-client indemnification

This section applies to a business client that validly accepts these Terms for a transaction, not to a person merely reading the Site. To the extent permitted by law, the client will defend and indemnify Mediateers and its personnel against third-party claims and reasonable resulting losses and defense costs to the extent caused by the client's infringing materials, unlawful or deceptive instructions, unsupported business claims, unlawfully supplied contact data, failure to obtain required client-side permissions, or material breach of these Terms.

The client does not indemnify us for the portion caused by our negligence, breach, fraud, gross negligence, willful misconduct, or other responsibility that law prohibits shifting. Mixed responsibility is allocated according to each party's contribution, as agreed or determined through the dispute process. This provision does not prevent regulators or affected people from enforcing obligations directly against us.

We will give reasonably prompt notice of a covered claim and reasonable cooperation. The client may control the defense with qualified counsel reasonably acceptable to us. We may participate with our own counsel at our expense. No settlement may admit wrongdoing by us, impose nonmonetary obligations on us, restrict our business, or omit a full release of us without our written consent. If the client fails to assume a defense it owes, we may reasonably defend ourselves and seek reimbursement of covered costs. Indemnification of fines or penalties applies only where lawful.

29. Suspension, termination, and transition

We may restrict Site access or pause affected work when reasonably necessary to address unlawful instructions, material security risks, abuse, nonpayment under Section 13, or another material breach. Where feasible and appropriate, we will give notice and a reasonable opportunity to resolve the issue. Immediate action may be necessary to prevent harm or comply with law.

Suspension must be proportionate to the issue. It does not automatically entitle us to all unearned fees, authorize deletion of client property, or override legally required data return. Termination and final accounting follow Sections 10–12 and any controlling Client Agreement.

After termination, we will reasonably cooperate with ordinary handoff of paid deliverables and client-owned access. Additional migration or transition work requires an approved quote unless already included or required to remedy our breach. Accrued payment, confidentiality, intellectual-property, lawful data-retention, liability, and dispute provisions survive as their nature requires.

30. Events outside reasonable control

Neither party is responsible for delay to the extent caused by an event beyond its reasonable control that could not reasonably be prevented or overcome, such as a natural disaster, widespread utility failure, or government restriction. The affected party must take reasonable steps to limit the impact and communicate material delays.

This does not automatically excuse inadequate security, lack of funds, ordinary staffing problems, a party's own breach, or avoidable provider failures. If an event prevents substantial performance for more than 30 calendar days, either party may end the affected work by written notice unless a Client Agreement provides another process. Earned work and approved commitments are accounted for, and unused prepaid amounts are refunded under Section 12. Mandatory rights and existing payment obligations are preserved.

31. Governing law and dispute process

Florida law governs these Terms and accepted transactions under them, without applying conflict-of-law rules to defeat mandatory protections. If you are entitled to nonwaivable consumer protections in another jurisdiction, this provision does not deprive you of them.

Before suing about an accepted transaction, the complaining party should send written notice describing the dispute and requested resolution. The parties will attempt in good faith to resolve it for at least 15 calendar days. This does not prevent a timely filing to preserve a claim, urgent injunctive relief, a lawful complaint to a regulator, use of an available small-claims procedure, or ordinary collection of an undisputed overdue invoice. It does not shorten a statutory deadline.

To the extent jurisdiction, venue, and applicable law permit, the parties consent to the state courts in Miami-Dade County, Florida, and the federal court serving that county. Any mandatory right to another forum is preserved. These Terms do not require arbitration or waive a jury trial or participation in a class proceeding.

Each party bears its own attorneys' fees and legal costs unless a statute, court rule, court order, enforceable indemnification obligation, or controlling Client Agreement provides otherwise. Either party may seek appropriate equitable relief to protect confidential information, intellectual property, security, or lawful account access. A remedy is subject to the legal standards for obtaining it.

32. Notices and electronic transactions

Send questions, cancellation, dispute notices, and other contractual notices to hello@mediateers.com. Identify the relevant business, order, or service and explain the request. No special subject line is required. We may send notices to the contact address you supplied; keep it current.

Unless mandatory law or a Client Agreement requires another method, an email notice under these Terms is effective when sent to the correct notice address without an automated delivery-failure notice. If you learn it was not delivered, use a reasonable alternative and contact us again. We will not require our acknowledgment as a condition for a timely, otherwise valid cancellation.

Where agreed and legally permitted, electronic signatures, approvals, and records may be used for transactions. We will provide any separate disclosures and consent process required for legally mandated electronic records. This paragraph does not substitute for those requirements or authorize electronic delivery where law requires otherwise. Keep copies of accepted orders, invoices, and approvals.

33. Intellectual-property and other complaints

To report an infringement concern, email hello@mediateers.com with your contact information, the work or right involved, the specific URL or material, your authority to act, and an explanation. Provide any information or statements required by the procedure you invoke. We may request reasonable clarification and take appropriate action.

This contact process does not claim that we have registered a statutory DMCA agent or that every report satisfies a formal legal notice requirement. Do not submit knowingly false allegations. Report privacy or security concerns through the same email without sending unnecessary sensitive information.

34. Changes, interpretation, and general terms

We may update these Terms prospectively and identify the effective date. We will provide additional notice and obtain renewed agreement when required for material changes. Posting a new version does not rewrite an existing signed Client Agreement, retroactively change a dispute, authorize a new charge, or establish consent solely through silence.

An accepted order and incorporated agreement define that engagement. Material changes to its scope, price, or legal terms require both parties' written agreement. Routine written approvals may address implementation within that scope. A salesperson's informal statement does not override an accepted agreement, and this provision does not excuse fraud or unlawful misrepresentation.

If a provision is invalid, it is limited or severed only as law permits and the remaining provisions continue. Failure to enforce a right on one occasion is not a continuing waiver. Neither party may assign an accepted engagement in a way prohibited by its Client Agreement or law. A permitted business successor must assume the relevant obligations; an assignment does not automatically release accrued duties.

Headings aid navigation. “Including” introduces examples rather than an exhaustive list. Except for parties expressly protected by a provision, these Terms do not intentionally create third-party contractual beneficiaries. Applicable nonwaivable rights control over conflicting language.
